The Contract Analyst provides support to the Contract Manager who is responsible for managing all aspects of the contract review and approval process for research agreements. The Contract Analyst will be assigned to specific research contracts, and be responsible for identifying common issues and language changes that need to be addressed to meet the CHI Institute for Research and Innovation’s (CIRI’s) contract guidelines (30%), assisting the Contracts Manager with negotiations (30%), tracking changes and maintaining versions within the contracts repository system (20%), and coordinating / communicating status of individual contracts with other CIRI personnel (20%).
Key Responsibilities
Assist Contract Manager with contract review, negotiations and processing of CIRI contracts.
Review CIRI contracts, assess business risks and propose modifications intended to strengthen contractual protections.
Ensure individual contracts are expedited within the established process and complete service is provided to CCR (Center for Clinical Research), CIRI and the MBO within a designated timeframe.
Track status of ongoing contract negotiations and facilitate progress obtaining required information.
Communicate with internal business managers, sponsors and physician investigators regarding contract status and negotiations.
Oversee and implement all aspects of contract termination, assignment and consolidation
Determine and apply the appropriate contract form for each business transaction.
Ensure that all parties are following CIRI contract processes.
Scan and upload contracts to online contract repository.
Generate and interpret reports from online contract repository.
Maintains the CCR/CIRI agreement renewal/termination calendar.
Through periodic QA, ensure that all agreements and related documents are appropriately stored in the contract repository and archived according to the company records retention policy.
Maintain contract archives and information in the contracts repository and contracts management system
Assist Contract Manager in the collection, tracking and reporting of contracts and contracting parties information
','!*!Education / Accreditation / Licensure (required & preferred):
Bachelor’s degree (required)
May substitute an equivalent combination of education and experience.
Paralegal certification by NALA, NFPA, or AAPI preferred.
Experience
Minimum 2 years of clinical research contracting experience (required).
Minimum 5 years’ experience in contract management at a large national organization with multiple facilities. (preferred)
Experience in clinical research and/or a health care environment.
Direct experience in reviewing, drafting and negotiating contracts.
Ability to independently negotiate contracts with Research Sponsors on behalf of CIRI.
Must have demonstrated knowledge and/or skills in the following areas:
A solid understanding of legal terms and contract formulation principles (required)
Demonstrated experience with contract review (required)
Understanding of basic financial concepts and ability to understand the financial aspects of agreements (required)
